  • "We are writing to express our disappointment not only at the terms of the Apollo Led Buyout that you approved, but also at the wholly-insufficient process which you undertook in reaching these terms.  We intend to vote against your proposed sale.... We are writing to express our disappointment not only at the terms of the Apollo Led Buyout that you approved, but also at the wholly-insufficient process which you undertook in reaching these terms... 12:58 pm Major averages continue to extend recovery -- S&P -3.7, Dow -50, Nasdaq Comp -37 (:TECHX) : Noted at 10:47 that the S&P had broken below its 200 sma/ema but had support in the 2045/2044 area (The Technical Take). It reached 2044 at 11:35 and stabilized. Mentioned at 11:38 that the index needed to sustain a breach of 2052/2053 to improve the intraday price pattern. It tested and paused at 2052 at 11:45 with the break and hold above extended to 2065 in recent trade. Intraday resistance from here is at 2068 and 2071

12:55 pm Midday Market Summary: Financials and Technology Lag (:WRAPX) : Equity indices trade in negative territory at midday after enduring steady selling through the opening hour of action. A partial rebound has taken place in the recent going, but the S&P 500 remains lower by 0.3% after testing its 200-day moving average (2,055) while the tech-heavy Nasdaq Composite (-0.8%) underperforms.

Today's opening hour has featured a broad-based retreat in stocks and commodities while the dollar and Treasuries have been on the receiving end of safe-haven flows as another day is set to go by without any progress between Greece and its creditors. The Eurogroup held a brief meeting earlier with Chief Jeroen Dijsselbloem saying the Eurogroup expects that Greece will submit a formal request for a new ESM program tomorrow.

On a separate note, China's Shanghai Composite lost 1.3% in the Tuesday session despite Monday's CNY1.80 trillion liquidity injection from the People's Bank of China. As a result nearly 25% of A-share listings have been halted over the past seven days as companies scramble to protect their market values.

With macroeconomic uncertainty on the rise, commodities have been hit across the board. Crude oil has extended yesterday's decline and is currently lower by 0.9% at $52.05/bbl. Interestingly, the energy sector (+0.4%) has recently turned positive while four of the remaining five cyclical sectors trade in the red.

Notably, top-weighted technology (-0.9%) and financials (-0.9%) continue trading well behind the broader market, and their weakness could prevent the S&P 500 from erasing its loss. High-beta chipmakers have led the tech sector lower with the PHLX Semiconductor Index down 1.7% after Advanced Micro Devices (AMD 2.08, -0.39) lowered its guidance. Shares of AMD are down 15.8% while the PHLX Semiconductor Index is now down 3.2% for the week.

Elsewhere among cyclical sectors, industrials (-0.1%) remain in negative territory, but transport stocks have shown relative strength. The Dow Jones Transportation Average is higher by 0.4% with 11 of its 20 components in the green.

Broadly speaking, countercyclical sectors have shown relative strength with consumer staples (+0.8%), telecom services (+0.1%) and utilities (+2.3%) in the green. The utilities sector has climbed throughout the day thanks to solid gains in the Treasury market that have dropped the benchmark 10-yr yield seven basis points to 2.22%.

Economic data released this morning included Trade Balance and JOLTS:

  • The U.S. trade deficit increased by $1.20 billion in May from April's downwardly revised $40.70 billion (from $40.90 billion) to $41.90 billion while the Briefing.com consensus expected an increase to $42.50 billion 
    • The goods deficit increased $1.20 billion in May from April's $60.30 billion to $61.50 billion while the services surplus was virtually unchanged at $19.60 billion
  • The May Job Openings and Labor Turnover Survey showed that job openings increased to 5.376 million from a revised rate of 5.109 million (from 5.367 million)

12:54 pm Grupo Aeroportuario del Pacifico announces preliminary terminal passenger traffic figures for the month of June 2015 (PAC) : During June 2015, total terminal passengers in the 12 Mexico-based airports increased 9.8% compared to the same period of the previous year; the Montego Bay airport traffic increased 0.7% during the same period. Domestic passenger traffic presented an 11.8% increase in the Mexican airports, while international passenger traffic increased 6.2%.

11:50 am Stone Energy provides drilling and production update; Q2 production expected to be at or above previous guidance (SGY) : In the Gulf of Mexico deepwater, operations at the Cardona #6 development well, located in Mississippi Canyon block 29, have been proceeding ahead of schedule and below budget, and drilling has been completed through the targeted zones. The well encountered approximately 288 feet of net pay in two intervals, similar to the Cardona #5 net pay of 275 feet. Analysis of logging and pressure data confirmed the existence of oil in the pay zones. The well has been successfully cased and cemented across all productive zones, the subsea tree has been installed and completion operations have begun. The well will be tied into our existing Cardona subsea infrastructure, which flows into Stone's Pompano platform. It is expected that gross production from Cardona #6 will reach approximately 5,000 Boe per day (65% working interest) from the lower completion by late September.The upper completion is expected to have a similar production rate and will be accessed in the future by hydraulically shifting sleeves between the upper and lower completions. Upon completion of the Cardona #6 well, the ENSCO 8503 deepwater drilling rig will be released for approximately 60 days to receive scheduled maintenance and to be outfitted with mooring capabilities.

  • The rig will then be mobilized to Mississippi Canyon block 26 to finish the completion of the Amethyst discovery (100% working interest). Amethyst will also be tied back to the Pompano platform, where first production is expected early in the first quarter of 2016. Following the Amethyst completion, the rig is currently projected to drill the Cardona #7 development well and the Lamprey deep water exploration prospect. 
  • Production for the second quarter is expected to be at or above the high end of the previous guidance range of 246-258 Mmcfe per day.The increase is a result of reduced scheduled third-party pipeline downtime in the GOM deepwater and flatter than expected production declines in Appalachia. Additional upward revisions in Appalachian production may be realized in the second quarter of 2015 earnings results pending participation elections by Stone's operating partners.

11:02 am Currency Commentary: DXY Hits Highest Level in a Month (:SUMRX) :

  • The Dollar Index is marching higher as it crosses the 97 level. This marks a month high for the dollar. Some safe haven buying is at play here as markets are concerned with the extreme volatility in China and of course the Greek situation. This is leading investors into the greenback until we can find some clarity on key issues. On the economic data front, the trade balance deficit came in slightly lower than expected while the JOLTS- Job Openings number remained steady. The market will be awaiting tomorrow's FOMC Minutes (Wed 2pm) for some clues on the Fed's thoughts on Greece, China and the dollar.
  • The euro has tumbled to 1.0936 in early trade. The uncertainty for Greece continues to weigh on the single currency. There were talks of a deal being cut 48 hours following the referendum but they are showing to be an overly optimistic time line. Today the EU held a meeting to discuss the situation. Members were disappointed that Greece failed to come to the table with a new plan. There is talk that the Greeks will be presenting their outline tomorrow or Wednesday. So the market will remain in the dark. 
  • The pound has been dragged lower as the European situation remains wobbly. The currency is now testing its 2300 sma (1.5417). The Manufacturing and Industrial Production numbers were mixed this morning and are providing little direction for cable. The Bank of England will be meeting on Thursday but there is little expectations in terms of a potential change to the asset purchase program or the rate. 
  • The yen continues to trade in a steady range. Given the volatility and uncertainty it provides us some further evidence that the yen has lost some of its status as a safe haven currency. The yen was seeing some small buying interest following the early selling in the U.S. equity markets. But so far 122 is showing signs of holding support (FOREX, BONDX).

It five month close/intraday lows from March are at 2040/2039. Very short term price patterns are looking extended.

10:36 am Heavy weakness in Chinese names (FXI) : We are seeing widespread and meaningful weakness in Chinese companies today on continued weakness out of Asia. China's Shanghai Composite only fell 1.3% overnight, but many shares were halted there, which may have reduced the downside volatility. An increasing number of companies in Asia have been halting their own shares to limit the downside during the continued selloff

10:30 am DepoMed confirms receipt of unsolicited proposal from Horizon Pharma (HZNP); Board previously reviewed and rejected identical highly conditional, unsolicited proposal (DEPO) : Co confirms that it has received an unsolicited, highly conditional, non-binding proposal from Horizon Pharma (HZNP) to acquire all of the outstanding shares of Depomed in an all-stock transaction valued at $29.25 per share. 

  • Depomed noted that Horizon's Proposal is identical in all material respects to the Horizon proposal received by Depomed on May 27, 2015 and reiterated on June 12, 2015.
  • The Depomed Board, after careful consideration and in consultation with its financial and legal advisors, unanimously determined that it was not in the best interests of Depomed or its shareholders to pursue the Prior Proposal. The Board is confident that continuing to execute on its strategic plan is the best path forward for the Company and its shareholders at this time.
  • In making its determination with respect to the Prior Proposal, the Depomed Board considered a number of factors, including:

10:02 am Virgin America announces a new technology partnership with ViaSat (VSAT) to bring faster WiFi connectivity to the airline's 10 new A320 aircraft deliveries, beginning in September of this year (VA) : Virgin America will begin installation of ViaSat's systems immediately -- with the first Ka-band antenna equipped aircraft to take flight in the continental U.S. in September 2015.  Aircraft scheduled for Hawaii flights will be outfitted with ViaSat's hybrid Ku/Ka-band antenna in early 2016.  During the beta period rollout of the ViaSat product, Virgin America will offer free WiFi access on its first ViaSat equipped aircraft.  The airline will introduce pricing for the service in 2016.

9:14 am S&P futures vs fair value: +5.00. Nasdaq futures vs fair value: +11.10. (:WRAPX) : The stock market is on track for a modestly higher open as S&P 500 futures trade five points above fair value. However, the current gain masks a steady retreat that began around 3:15 ET, having caused a ten-point pullback from highs in futures on the benchmark index.

That being said, U.S. futures have shown strength relative to European markets where concerns surrounding Greece and the Eurozone have dropped the euro to a fresh one-month low. The single currency is lower by 1.2% against the dollar, trading near 1.0930. On a related note, safe-haven demand has sent Germany's 10-yr bund to a session high with its yield down ten basis points at 0.66%.

Although Greece has been the main point of discussion, investors should take note of the continued weakness in China. The Shanghai Composite lost 1.3% in the Tuesday session despite Monday's CNY1.80 trillion liquidity injection from the People's Bank of China. As a result nearly 25% of A-share listings have been halted over the past seven days as companies scramble to protect their market values.

On the commodity front, crude oil hovers just below its flat line at $52.49/bbl as it struggles to remain little changed after diving nearly 8.0% yesterday. The energy component has had to contend with a stronger dollar today as the Dollar Index (97.16, +0.87) trades higher by 0.9%. On a related note, Treasuries hold gains with the 10-yr yield down six basis points at 2.22%.

Markets across Asia finished Tuesday on a mostly lower note. Most importantly, equities in China reverted back into sell mode with the Shanghai composite dropping 1.3% last night. Sellers took charge at the opening bell and did not let up despite some late-day buying. This comes after the People's Bank of China injected CNY1.8 trillion in liquidity. The continued selling led more than 200 companies to halt their shares from trading in order to protect their market value, according to reports. It is believed that nearly 25% of A-share listings have been halted over the past seven days. Elsewhere, the Reserve Bank of Australia held its key interest rate at 2.00%, as expected, but left the door open for a rate cut later in the year.

  • Economic data was limited: 
    • Australia's June AIG Construction Index fell to 46.4 from 48.0

  • Japan's Nikkei rose 1.3% on broad-based strength, notably in yesterday's laggards with IT and Financials outpacing the market to the tune of 1.5% each. Utilities were among the notable weak sectors, down ~1%.

  • Oramed will receive $500,000 in exchange for exclusively negotiating with Sinopharm/Hefei for 60 days, while the final terms of the agreement are negotiated and finalized. The transaction which additionally includes 10% royalties on sales, will allow Sinopharm/Hefei to purchase a roughly 10% stake in Oramed Pharmaceuticals and acquire rights for oral insulin in China.
  • The terms are to be broken down as follows: Oramed will sell Sinopharm/Hefei 1,155,367 shares of common stock for ~$12,000,000.   • Mining revenue was $5.4 million in Q2 2015 as compared to $6.0 million in Q2 2014. The decrease resulted from lower average gold prices and slightly lower gold ounces produced. 
  • Metal pours totaled 4,575 ounces of gold and 60,112 ounces of silver, during the second quarter of 2015, as compared to 4,763 ounces of gold and 48,626 ounces of silver in the second quarter of 2014.   • As previously announced, GLPI has proposed that Pinnacle's operating business would be spun off into a separately traded public company and its remaining real estate assets  would be merged into GLPI.
  • Under GLPI's revised proposal, Pinnacle shareholders would receive a fixed exchange ratio of 0.85 GLPI common shares per Pinnacle share for PropCo, which is a 54% increase over the previously announced exchange ratio of 0.5517 on March 9 and values PropCo at over $31.50 per Pinnacle share based on GLPI's closing share price yesterday.
  • Pinnacle shareholders would also continue to receive one share of OpCo common stock for each share of Pinnacle they own, which has an assumed value of approximately $16.00 per Pinnacle share.

7:55 am S&P futures vs fair value: +8.20. Nasdaq futures vs fair value: +15.40. (:WRAPX) : U.S. equity futures hold modest pre-market gains, but they have backed away from their overnight highs reached around 3:15 ET. The S&P 500 futures remain higher by eight points against fair value.

Meanwhile, Treasuries have extended yesterday's advance with the 10-yr note holding a solid gain with its yield down four basis points at 2.24%.

  • XBiotech announced publication of clinical results from an open label pilot study for its antibody therapy for treatment of Type 2 diabetes.
  • The findings point towards a groundbreaking therapy for Type 2 diabetes by treating the disease rather than its symptoms.
  • The co has developed a True Human monoclonal antibody therapy derived from an individual with natural immunity to the body's own inflammatory process that can disrupt pancreas function and limit insulin action.
  • In the peer-reviewed article titled, "Safety, Pharmacokinetics, and Preliminary Efficacy of a Specific Anti-IL-1alpha Therapeutic Antibody (MABp1) in Patients with Type 2 Diabetes Mellitus," XBiotech reported that biweekly intravenous infusions with MABp1 for a period of 60 days resulted in objective improvements to a number of diabetes parameters including HbA1c, fasting C-peptide, pro-insulin and insulin.

7:15 am Dyax receives FDA Breakthrough Therapy designation for DX-2930 for prevention of attacks of hereditary angioedema, supported by Phase 1b results (DYAX) : The FDA granted Breakthrough Therapy designation for the investigation of DX-2930 for hereditary angioedema (HAE). Dyax is developing DX-2930, an investigational fully human monoclonal antibody inhibitor of plasma kallikrein (pKal), as a subcutaneous injection for prevention of HAE attacks.

  • The designation is supported by the interim results of Dyax's Phase 1b clinical trial of DX-2930 in HAE patients. The Phase 1b study met all objectives assessing safety, tolerability and pharmacokinetics of multiple subcutaneous administrations of DX-2930. Additionally, in a pre-specified proof-of-concept efficacy analysis, DX-2930 demonstrated statistically significant reductions in attack rate compared to placebo.

  • Under the terms of the agreement, Allergan will acquire these rights for an upfront payment of $250 million, $125 million of which is payable upon HSR clearance and $125 million of which is payable in April of 2016. 
  • Merck will additionally be entitled to receive potential development and commercial milestone payments and tiered double-digit royalties based on commercialization of the programs. 
  • Allergan will be fully responsible for development of the CGRP programs, as well as manufacturing and commercialization upon approval and launch of the products.
  • Allergan reaffirms 2015 EPS forecast provided on May 11, 2015.

7:01 am DepoMed: Horizon Pharma (HZNP) proposes to acquire DepoMed for $29.25/share in stock, or ~$3 bln (shares halted) (DEPO) : Horizon Pharma (HZNP) announced a proposal to acquire all outstanding shares of Depomed, Inc. for a per share consideration of $29.25 in an all-stock, tax-free exchange valued at approximately $3.0 billion. Horizon's proposal represents a premium of 42 percent to the closing price of Depomed on July 6, 2015. The proposal is subject to the pre-condition of confirmatory due diligence. This pre-condition may be waived by Horizon Pharma plc at its discretion. 

  • The transaction, if consummated, would be immediately and substantially accretive to Horizon's adjusted diluted earnings per share. 
  • Horizon detailed that a projected full-year pro forma combined 2015 net sales and adjusted EBITDA would be in excess of $950 million and $350 million, respectively, based on Depomed's and Horizon's existing guidance
  • The combined company would have 13 marketed medicines, nearly doubling Horizon's current portfolio, with more than 700 sales representatives in Primary Care, Orphan and Specialty business units

  • Progress (PRGS) announced major product advancements and the closing of a number of significant new deals with Intuit and GT Nexus among others as it enters the second half of 2015. 
  • NRG Energy (NRG) and Ice Energy partner to help reduce California's peak energy demand. NRG and Ice Energy will meet the recently awarded 20 year long-term contracts to provide 25.6 megawatts of behind-the-meter energy storage using Ice Energy's proprietary Ice Bear technology for Southern California Edison. Financial terms of the agreement were not disclosed.
  • Dejour Energy (DEJ) announced an operational update for its project in NW Colorado. Since the commencement of the current phase of Kokopelli in September 2014, Dejour, together with its operating partner have completed the drilling, casing and testing of the produced water disposal well on Pad 21A, vital to the economics of the ongoing Kokopelli production programs. This well is now ready to equip as a disposal well for produced water for all wells expected to be drilled in the future on the Jolley Mesa portion of the south lease at Kokopelli. 
  • Turkcell (TKC) and Turkish defense industries company ASELSAN have taken the first major step in Turkey for 5G mobile communication technologies development. Turkcell CEO Kaan Terzioglu and Dr. Faik Eken, the General Manager of ASELSAN, have signed the framework agreement that sets the stage for cooperation between the two companies.
  • Timmins Gold (TGD) announced that it has commenced drifting into the underground veins parallel to the south wall of the San Francisco pit. The drift is part of a pilot phase designed to test the mining and processing of the underground ore in preparation for full scale underground mining.
  • ZELTIQ Aesthetics (ZLTQ) disclosed that on June 30, 2015, Len DeBenedictis, age 74, Chief Technology Officer, requested, and on July 1, 2015, ZELTIQ agreed, that effective July 1, 2015, Mr. DeBenedictis would reduce his work hours commitment with ZELTIQ by 20%, and commensurate with that reduction that his salary would be reduced by 20%.

5:58 am Nexvet Biopharma signs R&D agreement with animal health company Zenoaq to develop a number of therapeutic biologics for companion animals (NVET) : The biologics will target undisclosed proteins involved in the areas of immuno-oncology and allergy/inflammation. Key aspects of the collaboration include:

  • Nexvet will apply its PETization technology to Zenoaq monoclonal antibodies already identified as having therapeutic potential in companion animals 
  • Development costs will be shared equally 
  • Zenoaq will retain European and Asian marketing rights to developed products, with Nexvet retaining rights to the rest of the world, including the United States.

5:30 am Prima Biomed receives positive Scientific Advice from the EMA on the development path for its lead product, IMP321 in metastatic breast cancer (PBMD) : After dialogue between Prima and the EMA, the Agency has now confirmed in writing its endorsement of the development program of IMP321 in metastatic breast cancer. The planned Phase IIb study, to be called AIPAC (Active Immunotherapy PAClitaxel) is considered well designed by the Agency. AIPAC is now expected to initiate in Europe during the 4th quarter of 2015. While the EMA never endorses any statement on the likelihood of future regulatory decisions, the Agency's communication has suggested that the achievement of certain clinical endpoints may lead to Marketing Authorization in the EU based on this one pivotal study.

  • After a smaller safety run-in phase that will extend into 2016 and will yield valuable safety, pharmacokinetic and pharmacodynamic data, AIPAC will proceed to recruit around 200 patients with HER-2 negative metastatic breast cancer, randomising them 1:1 to either standard-of-care paclitaxel plus placebo or paclitaxel plus IMP321. The trial will have Progression-Free Survival as its Primary Endpoint, with response rates according to the RECIST criteria and Overall Survival among the secondary endpoints. The study has been powered to show a four-month PFS advantage for the treatment group1. 
  • Allowing time for patient recruitment and follow-up, AIPAC's expected duration is around three years.

4:34 am Mazor Robotics receives 7 purchase orders for its Renaissance Systems in Q2 (MZOR) : Co announced that it received purchase orders for and delivered seven Renaissance systems and one system upgrade in the second quarter ended June 30, 2015.

  • Six of the systems were delivered to U.S. hospitals and one was delivered to Spain. 
  • The Company ended the quarter with 93 Renaissance systems installed globally, with 53 in the U.S., the Company's primary growth market, compared with 72 and 39 systems for the second ended June 30, 2014, respectively.

3:38 am Israel Chemical resumes production of polymeric flame retardant following end of labor strike (ICL) : Co announced that its ICL Industrial Products segment has resumed commercial production of its FR-122P polymeric flame retardant following the end of a labor strike at its 10,000 MT/year plant in Israel. (SLW) : Co announces that it has received a proposal letter dated July 6, 2015 from the Canada Revenue Agency in which the CRA is proposing to reassess Silver Wheaton under various rules contained in the Income Tax Act.

  • The Proposal outlines CRA's position that the transfer pricing provisions of the Income Tax Act relating to income earned by our foreign subsidiaries outside of Canada should apply such that the income of Silver Wheaton subject to tax in Canada should be increased for the 2005 to 2010 taxation years by approximately C$715 million ($567 million). The issuance of the Proposal does not require the Company to pay any amount to the CRA at this time. 
  • Management believes that the Company has filed its tax returns and paid applicable taxes in compliance with Canadian tax law.
