Newstrike Resources Ltd. (News - Market indicators) ("Newstrike") is pleased to announce that it proposes to complete a non-brokered private placement pursuant to which it will issue a minimum of 3,000,000 and a maximum of 5,000,000 units ("Units") at a price of $0.065 per Unit to raise aggregate gross proceeds of a minimum of $195,000 and a maximum of $325,000. Each Unit will consist of one common share and one share purchase warrant of Newstrike, with each share purchase warrant entitling the holder thereof to acquire one additional common share of Newstrike for a period of 24 months at an exercise price of $0.10 per share. Insiders of Newstrike are expected to subscribe for up to 1,500,000 Units in the offering.

The private placement remains subject to the approval of the TSX Venture Exchange.
