TORONTO, ON--(Marketwired - September 21, 2015) - Ivernia Inc.(TSX: IVW) ("Ivernia" or the "Company") is pleased to announce the details of the special meeting of Ivernia's shareholders (the "Meeting").

The Meeting is scheduled for 10:00 a.m. (Eastern Time) on Wednesday, October 28, 2015 at:

At the Meeting, shareholders of Ivernia will be asked to consider and, if deemed fit, to approve: (i) Ivernia's acquisition of all of the issued and outstanding common shares of Geo Zone Exploration Limited ("Geo Zone") and the conversion of approximately C$12.464 million of outstanding debt owed by the Company to Enirgi Group Corporation into Ivernia common shares (collectively, the "Transaction"); (ii) changing the name of the Company from "Ivernia Inc." to "Leadfx Inc." (the "Name Change"); and (iii) the consolidation of the outstanding common shares of the Company at a ratio of a minimum of 50:1 and a maximum of 100:1 (the "Consolidation"). The Company received conditional approval from the Toronto Stock Exchange for the Transaction, Name Change and Consolidation on September 16, 2015.

The Company has entered into five voting and support agreements with certain disinterested shareholders of Ivernia that control approximately 22% of Ivernia's current issued and outstanding Ivernia common shares (or over 50% of the shares that are eligible to be voted on the Transaction at the Meeting), among other things, to vote in favour of the Transaction at the Meeting. "We are very pleased that key shareholders holding the majority of shares eligible to be voted on the Transaction at the Meeting have provided their written support for the Transaction and strongly urge all shareholders to vote in favour of the Transaction at the Meeting", noted Mr. Robert Metcalfe, Chair of the Special Committee.

The Company has elected to use the notice-and-access ("Notice-and-Access") system recently adopted by the Canadian Securities Administrators in accordance with National Instrument 54-101. In accordance with the Notice-and-Access system, a notice and form of proxy (or voting instruction form, as applicable) (the "Notice Package") will be mailed to registered shareholders and non-registered shareholders of the Company on or before September 28, 2015. The notice provides instructions regarding the website availability of the Notice of Meeting and the management information circular (collectively, the "Meeting Materials"). Shareholders also have the ability to immediately access the Meeting Materials on SEDAR, www.sedar.com, and on Ivernia's website, www.ivernia.com.
