| On March 4, 1999, the Company entered into a joint venture agreement with Aquiline
Resources Inc. ("Aquiline"), whereby in order to earn a 70% interest in a portion of the River
Valley property, Aquiline must make cash payments of $90,000 (outstanding as of
December 31, 2001 - nil) and make exploration expenditures of $500,000 over three years. |

Aquiline has an extensive land position and several properties in the River Valley Ultramafic Itrusive PGM bearing Complex located approximately seventy kilometers east of Sudbury. The Complex is host to Pacific Northwest Capital Corporation's Dana Lake Palladium/Platinum project with a reported indicated and inferred resource of 1,025,500 ounces of palladium, platinum and gold.
