Each warrant will entitle the holder to purchase one additional common share for 24 months from the closing of the Private Placement at a price of C$0.25 per share for the first 12 months and C$0.35 for the remaining 12 months. Finders fees may be payable in connection with the Private Placement as permitted under the policies of the TSX Venture Exchange.

Net proceeds from the Private Placement will be utilized to fund the proposed work programs on StoneShield's El Mercado property, Colombia; on the Geldenhoof property, British Columbia; on the Company's Risby Copper property, Northwest Territories; and for general working capital.
