Nyrstar held its Extraordinary and Special General Meeting of shareholders in Brussels today.
The shareholders approved the physically settled conversion right attached to the senior unsecured convertible bonds due 2018, which were issued by the Company on September 25, 2013 for an aggregate principal amount of EUR 120 million and have been placed with institutional investors following an accelerated book-building procedure.
The shareholders also approved the appointment of Ms. Carole Cable as new independent and non-executive director to the Board of Directors. This brings the number of independent and non-executive directors to five and adds further specialist mining and communications experience.
Ms. Cable is currently a Partner of the Brunswick Group, an international communications firm, where she is the joint head of the energy and resources practice, specialising in the metals and mining sector. Prior to her current position, she worked at Credit Suisse and JPMorgan where she was a mining analyst and then moved into institutional equity sales covering the global mining sector as well as Asia (ex Japan). Previous to that, she worked for an Australian listed mining company. Ms. Cable holds a Bachelors of Science degree from the University of New South Wales, Australia and is currently on the Board of Women in Mining UK.
Commenting on Ms. Cable's appointment to the Nyrstar Board, Chairman Julien De Wilde stated:
