Extorre Gold Mines Limited (News - Market indicators)(NYSE Amex:XG)(FRANKFURT:E1R) ("Extorre" or the "Company") is pleased to announce that it has entered into an agreement pursuant to which a syndicate of underwriters led by TD Securities Inc. (the "Underwriters") has offered to purchase, on a bought deal basis, 5,300,000 common shares (the "Shares") of the Company at a price of $9.45 per Share (the "Issue Price") for total gross proceeds of $50,085,000 (the "Offering"). In addition, Extorre has granted the Underwriters an over-allotment option, exercisable for a period of 30 days following closing, to purchase up to an additional 795,000 Shares which, if exercised, would increase the Offering size to $57,597,750.
The net proceeds from the Offering will be used for exploration and development of the Company's mineral projects in Argentina and for general working capital purposes.
The closing of the Offering is expected to occur on or about February 22, 2012 and is subject to receipt of all necessary regulatory approvals.

In PEA-2 production was based on an 8.25 year, 1,000 tonnes per day mining and processing operation producing a total of 494,700 ounces of gold and 26.6 million ounces of silver. The proposed mine would produce an average of 206,300 ounces gold equivalent* per year for the first 3 years at a cash cost of US $236/ounce gold equivalent*.
* Gold equivalent ounces are calculated by dividing silver ounces by 50 and adding this figure to gold ounces.
