6:45 pm Futures soaring after-hours in reaction to Greek proposal being sent to eurozone creditors (SPY) : The S&P 500 futures have spiked nearly 20 points after it was widely reported that Greek officials have sent a bailout request to the country's creditors, seeking EUR53.50 billion to cover loan obligations until June 2018. However, the early look at the letter suggests this proposal is not much different from the one that was rejected by 61.3% of voters in the Greek referendum on July 5.

Furthermore, the proposal that will be voted on in the Greek parliament tomorrow includes a requirement for the creditors' commitment to restructure long-term debt. However, securing that commitment will be very difficult considering Germany's Finance Minister Wolfgang Schaeuble was quoted earlier today by Reuters as saying debt restructuring is not possible because it would "infringe the system of the European Union." 

6:03 pm Banro announces Q1 production results: Twangiza produced 34,325 ounces of gold (BAA) : Co announces its operating results for the second quarter of 2015. Highlights:

  • Twangiza produced 34,325 ounces of gold in the second quarter of 2015, a 60% increase over Q2 2014 (21,431 ounces in Q2 2014), for year-to-date production of 70,268 ounces of gold.
  • Namoya achieved stacking levels greater than 140,000 tonnes in June as the mine continued its ramp-up to commercial production.
  • For the second consecutive quarter, throughput at the Twangiza process plant achieved 101% of the 1.7 million tonnes per annum ("Mtpa") annualized design capacity.
  • This throughput achievement at Twangiza includes processing an average of 43% non-oxide material at an overall average process recovery of 82.2%.
  • Twangiza and Namoya produced a combined 44,850 ounces of gold during Q2 2015.

6:01 pm TransAtlantic Petroleum provides operational update: current net production rate is approximately 5,700 BOEPD (TAT) : Co provides an operational update on its current drilling program.

  • Operational Update: TransAtlantic's current net production rate is approximately 5,700 BOEPD, comprised of approximately 4,500 BOPD of oil and approximately 7.2 MMCFPD of natural gas. In the second quarter of 2015, TransAtlantic had average net production of approximately 5,900 BOEPD, a 6% decrease from net production in the first quarter of 2015 and an 18% increase over net production in the second quarter of 2014. Net production for the second quarter of 2015 was comprised of approximately 4,560 BOPD of oil and 8.0 MMCFPD of natural gas. In the second quarter of 2015, the Company resumed drilling on the Delvina-34 well in Albania, began drilling the Bahar-9 and drilled the South Goksu-1 wells in Southeast Turkey, and commenced workover activity in the Albanian oil fields.
  • Hedge Update: On June 10, 2015 TransAtlantic placed additional zero premium collars with a floor price of $66.50 for a portion of its Turkey oil production through 2016. On July 8, 2015 the overall hedge portfolio was valued at approximately $34 million. The Company continues to closely monitor the commodity price environment and will adjust its position as opportunities arise.

5:57 pm Image Sensing Systems announces sale of its Automatic Number Plate Recognition business to TagMaster AB for $4.2 mln in cash (ISNS) : Co announces the sale of its Automatic Number Plate Recognition (ANPR/LPR) business to TagMaster AB for the purchase price of $4.2 million in cash. As of July 9, 2015, the ANPR/LPR business, including all products and solutions, will transition to TagMaster. Image Sensing Systems (:ISS) has decided to shift its strategic direction and focus to the Intelligent Transportation Systems (:ITS) market by investing in its Autoscope video detection and RTMS radar detection products and solutions.

5:51 pm StemCells provides clinical programs overview and progress update (STEM) : Co, in cooperation with the International Society for Stem Cell Research (:ISSCR), has posted a video of the presentation made by the Company's vice president of clinical research and chief medical officer Dr. Stephen Huhn, at the ISSCR 2015 Annual Meeting

  • Regarding the Phase I/II trial in thoracic spinal cord injury (SCI) completed in April 2015, Dr. Huhn stated, "Our primary focus in this study was to evaluate safety and also to look for even small signs of an effect that went beyond the possibility of spontaneous recovery. The pattern of sensory gains observed are both durable and meaningful, and indicate that the transplantation has impacted the function of damaged neural pathways." He further postulates, "The corollary of the sensory improvements we observed in our Phase I/II thoracic SCI trial could well be improved motor function in the upper extremities of patients with cervical spinal cord injuries participating in our Phase II trial."
  • Dr. Huhn also presented the top-line outcomes, at ISSCR 2015, from the Company's Phase I/II study in the advanced form of dry AMD, referred to as geographic atrophy (:GA), which was completed in June 2015. Dr. Huhn discussed the methodology used to analyze the progression of geographic atrophy in this study, which involved the first neural stem cell transplants conducted in the eye for a retinal degenerative disorder. While further assessment of the data is currently underway, according to Huhn, "We are encouraged by the emerging safety profile of the cells and the favorable preliminary efficacy data observed in the measurements of best corrected visual acuity, contrast sensitivity and optical coherence tomography." Based on the strength of these results, the Company is now enrolling patients for its Phase II proof-of-concept trial in GA-AMD.

Smucker announces offering of ~4.92 mln shares of common stock for a selling shareholder (SJM) : Co announces that Blue Holdings I, L.P. intends to offer for sale in an underwritten secondary offering 4,921,934 shares of the Company's common stock pursuant to the Company's shelf registration statement filed with the SEC. The Company previously issued to the Selling Shareholder 17,061,079 shares of common stock on March 23, 2015 in connection with the Company's acquisition of Big Heart Pet Brands. The shares to be sold by the Selling Shareholder represent 100% of the ownership interests attributable to affiliates of Centerview Capital Management LLC and AlpInvest Partners US Holdings, LLC. The Company is not selling any shares and will not receive any proceeds from the proposed offering. Morgan Stanley will act as the sole underwriter for the offering.

Although the Company initiated the 10-day termination process of the ATM Facility with Cantor Fitzgerald, with the official termination to take effect July 19, 2015, the Company will make no further sales of shares under the ATM Facility. Upon the announcement of the initiation of the ATM Facility's termination process, the Company had sold 709,900 shares raising approximately $8.2 million in gross proceeds.

5:12 pm Danaher sets final exchange ratio in split-off exchange offer for Danaher common stock in connection with separation of communications business (DHR) : Co announces the final exchange ratio for its split-off exchange offer for Danaher common stock in connection with the previously announced separation of Danaher's Communications business and merger of Potomac Holding LLC, the Danaher subsidiary holding its Communications business, with a subsidiary of NetScout Systems (NTCT) will be 2.4000 common units of Potomac Holding LLC for each share of Danaher common stock validly tendered and not properly withdrawn and accepted by Danaher pursuant to the terms of the exchange offer. After Danaher's acceptance of shares in the exchange offer, a subsidiary of NetScout will merge with and into Potomac Holding LLC, with Potomac Holding LLC surviving the merger and each Potomac Holding LLC common unit will automatically convert into the right to receive one share of NetScout common stock. Based on the final exchange ratio, Danaher expects to accept for exchange approximately 26,041,666 shares of its common stock if the exchange offer is fully subscribed.

  • The Company now expects full-year revenue to decline -8% to -9% (calcs to ~$7.05-7.13 bln vs $7.26 bln Capital IQ Consensus Estimate) versus a prior revenue forecast of -4% to -6%. The primary factors driving this revision are continued weak fundamentals in the North American oil & gas markets, and generally weaker capital spending in retail refrigeration and certain industrial end-markets.

4:31 pm Royal Gold enters into a $525 mln gold offtake agreement with Compaa Minera Teck Carmen de Andacollo, a 90% owned subsidiary of Teck Resources Limited (TCK) (RGLD) : The transaction will encompass certain exploitation concessions by CMCA on the Carmen de Andacollo copper-gold mine, any mining concessions acquired within a 1.5 kilometer area of interest, and certain other mining concessions that CMCA may acquire. Transaction Details Include:

  • Royal Gold made a $525 million advance payment in cash to CMCA 
  • CMCA will deliver to Royal Gold 100% of payable gold from Carmen de Andacollo until 900,000 ounces have been delivered, and 50% thereafter, subject to a fixed payable percentage of 89% 
  • Royal Gold will also pay CMCA 15% of the monthly average gold price for the month preceding the delivery date. 
  • The offtake agreement is effective July 1, 2015. Royal Gold plans to sell the gold within a few weeks of receiving each delivery. 
  • Royal Gold expects to begin receiving gold deliveries in its first fiscal quarter of 2016

  • Separate from the supply agreement, Stepan also reached an agreement to purchase select chemical manufacturing assets from SUN's Pasadena, Texas manufacturing site. The sale is expected to close in the third quarter. As part of the agreement Stepan also received an exclusive two month real estate purchase option on SUN's property located in Pasadena

4:18 pm VOXX Intl reports EPS in-line, misses on revs (VOXX) : Reports Q1 (May) loss of $0.03 per share, in-line with the Capital IQ Consensus of ($0.03); revenues fell 12.1% year/year to $164.4 mln vs the $168.16 mln consensus. 

  • The majority of the decline was related to foreign exchange as the Euro conversion accounted for $14.0 million, and ~ $5.0 million was related to the sale of its distribution business in Mexico, which occurred in the fiscal 2015 first quarter. The remainder was primarily related to the last of the West Coast port closure and some modest declines in select Premium Audio product categories. 
  • "We expect to deliver the first of our 360 degree action cameras this quarter and we are experiencing strong sales and demand for our Bluetooth and wireless speakers, both for our Acoustic Research and 808 Audio brands. 4:10 pm Closing Market Summary: S&P 500 Settles Below 200-Day Average After Daylong Retreat From Opening High (:WRAPX) : The major averages registered gains on Thursday, but not before enduring a daylong retreat from their opening highs. The S&P 500 was up more than 1.3% at the start, but narrowed its advance to 0.2% by the closing bell.

Equity indices charged out of the gate after the overnight session featured a rebound in China's Shanghai Composite, which climbed 5.8%. The advance occurred as officials in China continued introducing measures aimed at halting the recent market plunge with reports indicating a special taskforce targeting "hostile short-sellers" will be established by China's Public Security Ministry and China Securities Regulatory Commission.

Elsewhere, optimistic-sounding remarks from top Eurozone officials also contributed to the opening strength as European Council President Donald Tusk said he expects Greece to submit concrete, realistic reform proposals today. Mr. Tusk continued, saying the proposals must be matched by an offer from creditors that focuses on debt sustainability.

The opening spike sent the S&P 500 above its 200-day moving average (2,056), but the index returned below that mark during the afternoon. Cyclical sectors displayed broad strength in the early going, but the top-weighed technology sector (-0.3%) faded from its high during the afternoon, ending among the laggards. In general, large cap names held up well, but the largest stock by market cap-Apple (AAPL 120.07, -2.50)-surrendered 2.0%, contributing to the sector's afternoon pullback. In addition, high-beta chipmakers continued their recent woes with the PHLX Semiconductor Index falling 1.3% to extend this week's decline to 5.7%.

Meanwhile, the remaining cyclical sectors also pulled back from their highs, but they managed to end the day ahead of the broader market. The financial sector (+0.8%) had the best showing, settling in the top half of its trading range. The sector likely drew some strength from higher market rates as Treasuries retreated throughout the day with the 10-yr yield jumping 11 basis points to 2.31%.

Also of note, the industrial sector (+0.4%) finished among the leaders thanks to relative strength among transport stocks. The Dow Jones Transportation Average rose 0.6% to narrow this week's loss to 0.9%. JB Hunt (JBHT 84.02, +1.77) was a standout performer, rallying 2.2% after Longbow upgraded the stock to 'Buy' from 'Neutral.'

With the Q2 earnings season about to heat up, investors received the first few reports with Alcoa (AA 10.59, +0.09) climbing 0.9% after reporting a bottom-line miss on better than expected revenue. The company reaffirmed its global aluminum demand growth forecast of 6.0%.

Over on the countercyclical side, the consumer staples sector (+0.1%) ended among the laggards with PepsiCo (PEP 94.59, -1.02) surrendering 1.1% despite beating estimates and raising its earnings growth forecast.

Despite the higher finish, there were plenty of investors seeking downside protection today with the CBOE Volatility Index (VIX 19.91, +0.25) climbing above yesterday's session high.

Today's participation was ahead of average with more than 800 million shares changing hands at the NYSE floor.

Economic data was limited to weekly Initial Claims, which increased to 297,000 for the week ending July 4 from an upwardly revised 282,000 (from 281,000) while the Briefing.com consensus expected a decrease to 276,000. Today's reading represented the highest level since the end of February when claims briefly surpassed 300,000.

The Department of Labor reported that there were no special factors that impacted the latest claims reading, but it is possible that the Independence Day holiday factored into the increase.

Tomorrow, the Wholesale Inventories report for May will be released at 10:00 ET (Briefing.com consensus 0.3%).

The acquisition closed on June 29, 2015. ICS' revenue is expected to be between $1 and $2 million over the next twelve months.

4:02 pm Matador Resources provides operational updates, showing significant Y/Y growth in production to 23,500 BOE per day (MTDR) : Co reported operational highlights that included the following:

  • Significant year-over-year growth in production from 11,900 BOE per day in the first quarter of 2014 to 23,500 BOE per day in the first quarter of 2015, a 98% increase over the past year, with additional production growth anticipated in the second quarter of 2015. 
  • Significant year-over-year growth in oil and natural gas reserves from 54.6 million BOE at March 31, 2014 to 79.3 BOE at March 31, 2015, an increase of 45%, with most of this growth occurring in the Delaware Basin. 
  • Strong results from Matador's initial wells in the Permian (Delaware) Basin, including several recently completed wells in its Wolf (Loving County, Texas) and Rustler Breaks (Eddy County, New Mexico) prospect areas with 24-hour initial potential tests between 1,200 and 1,600 BOE per day.

  • QLGC is -21% at a 9 month low after lowering Q1 guidance this morning: 
    • EPS to $0.16-0.17 from $0.23-0.27 vs. $0.25 Consensus; rev to $113 mln from $124-132 mln vs. $128.3 mln consensus
    • Co cited lower than expected demand due to general weakness in the Company's traditional enterprise server and storage markets, and a build-up of inventory at certain of its OEM customers due to a slower next-generation server transition in enterprise environments. 
    • Last year HPQ accounted for 27% of rev with Dell at 17% and IBM at 11%.

1:56 pm Blue Square-Israel reports court approval for a stay of proceedings in its case involving subsidiary Eden Briut Teva Market (BSI) : Co announced that the District Court in Lod, Israel approved a stay of proceedings until a court hearing scheduled for July 14 for its 51% indirect subsidiary, Eden Briut Teva Market , at the ex parte request of Eden and the Company's subsidiary, Mega Retail.

  • The request submitted to court by Eden and Mega described obligations of Eden to its creditors of ~NIS 80.8 million plus debts to banks in the aggregate amount of ~NIS 75 million (of which bank debt is secured by guarantees in part by the Company (NIS 29 million) and in part by Mega (NIS 46 million)), in addition to Eden obligations to Mega of ~NIS 101 million for shareholder loans. 
  • In its request to the court, Mega agreed to finance the activity of Eden in the amount of NIS 8.5 million during the period of the stay of proceeding. In addition, Mega proposed a creditors' arrangement for Eden under which Mega would purchase all the shares or assets of Eden and pay various amounts to different classes of creditors of Eden.

12:53 pm Midday Market Summary: Cyclical Sectors Lead (:WRAPX) : The major averages sport midday gains, but it is worth pointing out that the market has spent the entire first half in a slow retreat from opening highs. Still, the S&P 500 remains higher by 0.7%, trying to stay above its 200-day moving average (2,056), which has been a focal point throughout the week.

Equities spiked at the start after the overnight session featured some improving investor sentiment after China's Shanghai Composite rebounded, climbing 5.8%. The advance occurred as officials in China continued introducing measures aimed at halting the stock market slide with reports indicating a special taskforce targeting "hostile short-sellers" will be established by China's Public Security Ministry and China Securities Regulatory Commission.

In addition, optimistic-sounding remarks from top Eurozone officials have also contributed to the opening strength. To that point, European Council President Donald Tusk said he expects Greece to submit concrete, realistic reform proposals today. Mr. Tusk continued, saying the proposals must be matched by an offer from creditors that addresses debt sustainability.

Eight of ten sectors hold midday gains with cyclical groups in the lead after showing relative weakness yesterday. Financials (+0.8%) and industrials (+0.8%) trade ahead of the broader market with the industrial sector receiving help from transport stocks. The Dow Jones Transportation Average has climbed 0.9% with all 20 components showing gains at this juncture. JB Hunt (JBHT 83.95, +1.70) leads, trading higher by 2.1% after Longbow upgraded the stock to 'Buy' from 'Neutral.'

Elsewhere, the health care sector (+0.8%) is the lone outperformer on the countercyclical side thanks in part to biotechnology. The iShares Nasdaq Biotechnology ETF (IBB 367.92, +5.14) trades up 1.4%, which has helped the Nasdaq Composite stay ahead of the broader market.

That being said, the Nasdaq has been able to overcome losses among chipmakers with the PHLX Semiconductor Index trading lower by 0.5% today and down 4.9% for the week. For its part, the broader technology sector (+0.6%) has kept pace with the broader market even though its top component-Apple (AAPL 122.63, +0.06)-has returned to its flat line not long ago.

Treasuries hover near their lows after a steady slide that began overnight. The 10-yr yield is higher by eight basis points at 2.27%.

Today's economic data was limited to weekly Initial Claims, which increased to 297,000 for the week ending July 4 from an upwardly revised 282,000 (from 281,000) while the Briefing.com consensus expected a decrease to 276,000. Today's reading represented the highest level since the end of February when claims briefly surpassed 300,000.

The Department of Labor reported that there were no special factors that impacted the latest claims reading, but it is possible that the Independence Day holiday factored into the increase.

11:11 am Currency Commentary: DXY Holding 96 (:SUMRX) :

  • The Dollar Index tested the 96 level for support overnight. It was able to firmly hold that level and push back into the mid range  of 96. Since then it has been bouncing around in a relatively tight range of 96.30-96.60. Economic data remains light which has put Fed speakers at the forefront. Yesterday afternoon the Fed provided its minutes from the June 17 meeting which were slightly more hawkish then many had expected. At the forefront was the Fed's concern over International issues and Greek in particular. This has set the stage for the tomorrow's highly anticipated speech from Fed Chair Janet Yellen.
  • For the euro, Greece remains the key as we approach what appears to be an 'end game meeting' on Sunday. The euro has been holding just above the 1.10 level over the course of the trading session. Markets do appear a little more upbeat about the potential for a deal to be struck by the two sides on Sunday. But the enthusiasm is certainly muted as we have been down this road before only to be met with disappointment. 
  • The pound appears ready to halt the two week decline that has erased approx 3% of its value against the dollar. Signs of a deal in Europe are helping provide a base here for the pound. The 1.5350 level is also showing signs of being a sturdy technical support level. The Bank of England met today but did not make any changes to its rates or purchase programs as widely expected. 
  • The yen is running into some resistance at the 121 level. In general, the yen remains one of the quieter assets in an otherwise extremely volatility market. The yen has continued to trade in the 125-120 area and it appears ready to maintain that area for the foreseeable future. Economic data was slightly better than expected today with the Core Machine Orders and Preliminary Machine Tool Orders both outpacing expectations (BONDX, FOREX).

11:05 am Spark Energy acquires retail energy company, CenStar Energy for $8.3 mln; in addition to expanding and amending its credit facility (SPKE) : The purchase price of CenStar is $8.3 million, subject to working capital adjustments. As part of the transaction, $2.1 million will be financed by an affiliate of Spark's founder and majority shareholder in the form of a 5% convertible subordinated note with a term of five years. The convertible subordinated note is convertible into shares of Class B common stock of Spark, along with units of Spark HoldCo, LLC, at a conversion price of $16.57.

  • In conjunction with the acquisition of CenStar Energy, Spark also announced today that it has amended and upsized its senior credit facility. The previous $70.0 million senior secured revolving working capital credit facility increased to $85.0 million and now includes a line of credit to be used specifically for the financing of M&A transactions, including the closing of the Oasis acquisition which is expected later this quarter

Index futures marched higher throughout the night, receiving a boost from improving investor sentiment after China's Shanghai Composite rebounded, climbing 5.8%. It is worth noting that officials in China continued introducing measures aimed at halting the stock market slide with reports indicating a special taskforce targeting "hostile short-sellers" will be established by China's Public Security Ministry and China Securities Regulatory Commission.

Moving on, European markets sport broad gains after European Council President Donald Tusk said he expects Greece to submit concrete, realistic reform proposals. Mr. Tusk continued, saying the proposals must be matched by a realistic offer from creditors on debt sustainability. Mr. Tusk is the latest official to signal a shift in favor of debt restructuring after the International Monetary Fund did the same last week.

Speaking of the IMF, a recent headline indicates the Fund has cut its 2015 global GDP growth forecast to 3.3% from 3.5% while reducing its outlook for the U.S. to 2.5% from 3.1%.

U.S. Treasuries have retreated with the 10-yr yield climbing seven basis points to 2.26%.

On the corporate front, Alcoa (AA 10.60, +0.10) trades up 1.0% after reporting a bottom-line miss on better than expected revenue. The company reaffirmed its global aluminum demand growth forecast of 6.0%. Elsewhere, PepsiCo (PEP 97.80, +2.19) has climbed 2.3% after beating estimates and raising its earnings growth forecast.

Samsung agreed to make available to Avino USD$10 million for prepayment of such concentrates. The Facility will be a single drawdown, and will be repaid with interest against Avino's future shipments of concentrates over the next 24 months. Under the prepayment agreement, Avino will ship the concentrates at the rate of 800 WMT per month over the next 24 months. Samsung will pay for the concentrates at the prevailing metal prices for their silver, copper and gold content at or about the time of delivery, less treatment, refining, shipping and insurance charges. Equity markets across Asia were mostly higher in Thursday's trade. The highlight of the night was China, which after halting half of its stocks, disallowing major stakeholders (5% holding or more) from selling shares for 6 months, and threatening to arrest short sellers, the Shanghai Composite managed to gain nearly 6.0% on the day. The index was down over 3.0% in the first hour before reversing off session lows for the largest one-day surge since 2009. Elsewhere, the Bank of Korea held its key interest rate at 1.5%, as expected.

  • In economic data: 
    • China's June CPI 0.0% month-over-month (expected -0.1%; prior -0.2%); +1.4% year-over-year (consensus 1.3%; last 1.2%). Separately, PPI -4.8% year-over-year (consensus -4.5%; last -4.6%)

  • Hong Kong's Hang Seng piggy-backed the Shanghai Composite today, gaining 3.7%. Among the notable movers, Tencent, Lenovo, and China Unicom all rose around 8.0% on the day.

  • The number of flights increased slightly (+1.4%), and the airlines of the Lufthansa Group were able to increase sales (+4.3%) faster than capacity (+3.2%). As a result the load factor improved year on year by 0.9 percentage points. Adjusted for currency effects, the pricing environment was negative. 
  • Lufthansa Passenger Airlines (incl. Germanwings) increased its sales (+5.3%) by more than capacity growth (+3.4%). The load factor rose by 1.4 percentage points.

8:53 am Enterprise Products reports a series of projects, to convert and expand segments of its petrochemicals pipeline network (EPD) :

  • North Dean pipeline conversion and expansion- The 149-mile pipeline will be converted from refinery grade propylene service to PGP service. The conversion is scheduled for completion in January, 2017 
  • Lou-Tex propylene pipeline conversion- The 263-mile, bi-directional pipeline, which currently transports chemical grade propylene between Sorrento, Louisiana and Mont Belvieu, will be converted to PGP service. The conversion is scheduled for completion in 2020. 
  • RGP pipeline and rail terminal expansion- Construction of a new 65-mile, 10-inch diameter pipeline, which will transport RGP between Sorrento and Breaux Bridge, Louisiana, is scheduled for completion in early 2017

  • PG announces the signing of a definitive agreement to merge 43 of its beauty brands with COTY in a Reverse Morris Trust transaction. 
  • The transaction includes P&G's global salon professional hair care and color, retail hair color, cosmetics and fine fragrance businesses, along with select hair styling brands.
  • The tax-efficient nature of the $12.5 bln offer maximizes value for P&G shareholders and minimizes annual earnings dilution. The transaction will result in a significant one-time earnings gain that will be recorded at closing of the transaction. P&G currently estimates the one-time gain will be in the range of $5 bln to $7 bln depending on the final deal value at the time of closing.
  • P&G is targeting to pay dividends and retire shares worth up to $70 bln over a four year period from fiscal years 2016 to 2019.
  • Although a final decision has not been made on the form of deal, P&G expects to do a split-off or spin-off transaction. P&G's current preference is for a Reverse Morris Trust split-off transaction in which P&G shareholders could elect to participate in an exchange offer to exchange P&G shares for shares of Coty.

7:02 am Epizyme amends and restates its Celgene (CELG) research collaboration; EPZM to receive $10 million extension fee payment and up to $610 million in potential milestones (EPZM) : Co has amended and restated its agreement with Celgene Corporation (CELG) to extend the research collaboration between the two companies for at least three additional years. Under the collaboration, Celgene will have the option to license histone methyltransferase inhibitors being developed by Epizyme against three predefined targets. Under the terms of the revised agreement:

  • Epizyme will receive a $10 million extension fee from Celgene in return for an option to individually license global rights for two of the targets and ex-US rights for the third target. 
  • Celgene may exercise its option with respect to each of the targets at the time of the IND filing for an additional pre-specified license payment. 
  • Epizyme will be responsible for leading and funding development for each target candidate through phase 1 clinical trials. 
  • Epizyme may earn total potential milestones of up to $610 million on the three targets, including up to $75 million in development milestones and license fees, $365 million in regulatory milestones, and $170 million in sales milestones. 
  • Epizyme also may earn a royalty of up to a low double-digit percentage on worldwide net sales for two of the product candidates, and on ex-US net sales for the third product candidate.

Celsis is a  provider of rapid bacterial detection systems for quality control testing in the biopharmaceutical and consumer products industries.  

  • The transaction is expected to close in 3Q15, subject to customary closing conditions. 
  • The acquisition is expected to represent approximately 1% of CRL's 2015 consolidated revenue, and approximately 2.5% of 2016 consolidated revenue.
  • Expected to be accretive to non-GAAP earnings per share by approximately $0.05 in 2015 and $0.15 to $0.20 in 2016.

7:01 am T-Mobile US reports it generated 2.1 million total net customer additions, including over 1.0 million branded postpaid net customer additions (TMUS) : Co provided a preliminary view of key customer results for the second quarter of 2015. Co generated 2.1 million total net customer additions, including over 1.0 million branded postpaid net customer additions, bringing its total customer base to 58.9 million across postpaid, prepaid and wholesale.

  • Total net customer additions were up 41% year-over-year and 14% sequentially. Total branded postpaid net customer additions were more than 1.0 million, up 11% compared to the prior year. Branded postpaid phone net customer additions were 760,000, up 31% compared to the prior year. 
  • Branded postpaid mobile broadband net customer additions were 248,000, down compared to last year, but up 85% sequentially. Branded prepaid net customer additions were 178,000 in the second quarter of 2015, which represents an improvement of 144% sequentially and 75% year-over-year.

  • Patients were started on the lower dose of 75 mg, with the option to adjust their dose to 150 mg if they had not achieved their LDL-C goal (as defined by the Japan Atherosclerosis Society guidelines) at week 8. At week 24, 97% of patients in the Praluent group reached their LDL-C treatment goal, compared to 10% for placebo
