Open Range Energy Corp. Announces $5 Million Underwritten Private Placement

Open Range Energy Corp. Calgary, December 5, 2007 ("Open Range") (TSX:ONR) is pleased to announce that it has entered into an agreement with a syndicate of underwriters led by Cormark Securities Inc. pursuant to which the underwriters have agreed to purchase 1,449,300 common shares issued on a "flow through" basis ("Flow-Through Common Shares") by way of an underwritten private placement at an issue price of $3.45 per Flow-Through Common Share for gross proceeds to Open Range of approximately $5 million (the "Offering").
Open Range has also granted the underwriters an underwriters' option to buy up to an additional 579,800 Flow-Through Common Shares for additional gross proceeds of approximately $2 million.
The Offering is scheduled to close on or about December 20, 2007 and is subject to certain conditions including, but not limited to, the receipt of all necessary approvals, including the approval of the Toronto Stock Exchange.
Proceeds of the Offering will be used to fund Open Range's exploration and development program.
