GREAT WESTERN MINERALS GROUP ANNOUNCES FILING OF PRELIMINARY PROSPECTUS
September 21, 2010 � Saskatoon, Saskatchewan: Great Western Minerals Group Ltd. ("GWMG" or the "Company") is pleased to announce that it has filed a preliminary short form prospectus with respect to the distribution of up to $35,000,000 of units of the Corporation ("Units"). Byron Securities Limited has been engaged to act as lead agent with Salman Partners Inc. (the "Agents") in respect to the offering of the Units (the "Offering").
The pricing of the Units will be determined by the Company and the Agents in the context of the market prior to filing the final prospectus in connection with the Offering. Each Unit will consist of one common share of the Corporation (a "Common Share") and one-half of one Common Share purchase warrant (each a "Unit Warrant"). Each whole Unit Warrant shall entitle the holder thereof to purchase one Common Share (each a "Unit Warrant Share") at a price per Unit Warrant Share to be determined at the time of pricing of the Units. The Unit Warrants will have a term expiring at 4:00 p.m. (Saskatoon time) on the date which is 18 months from the completion of the Offering.
GWMG plans to use the net proceeds for repayment of the short term debentures issued on September 6 and September 14, 2010, advancement of the Rareco project in South Africa, and for working capital and general corporate purposes.
A preliminary prospectus containing important information relating to the Offering has been filed with the securities commissions or similar authorities in certain jurisdictions of Canada. The preliminary prospectus is still subject to completion or amendment.
