Pencari Announces Financing

Pencari Mining Corp (Pencari) (TSX-V: PMC) has negotiated, subject to
regulatory acceptance, a non-brokered private placement of 10,000,000
units at a price of $0.15 per unit. Each unit will consist of one
common share and one non-transferable share purchase warrant, with each
warrant entitling the holder to purchase one additional common share of
Pencari at a price of $0.25 per share for a period of two years.
Pencari will realize gross proceeds of $1,500,000 from this private
placement, the proceeds of which will be used for general working
capital. There will be a finder's fee payable in cash of 5% of the
funds raised pursuant to this private placement.
