Nexen Announces Pricing Related to Any and All Debt Tender Offer

CALGARY, ALBERTA--(Marketwire - March 24, 2011) - On March 17, Nexen Inc. announced a debt repurchase program of up to US$1 billion that included:



-- Redemption of US$500 million 5.05% Senior Notes due 2013. The redemption
date is April 21, 2011.
-- Any and All Tender Offer for the 5.20% 2015 and 5.65% 2017 Senior Notes.
-- Maximum Tender Offer for the 6.20% 2019 and 7.40% 2028 Senior Notes.

 


Today, Nexen announces the reference yield and the total consideration for its Any and All Tender Offer. The reference yield was determined at 2:00 p.m. New York City time today. The total consideration for each note is based on the reference yield plus a fixed spread as set forth in the table below. All payments for notes purchased in the Any and All Tender Offer will also include accrued and unpaid interest on the principal amount tendered, up to, but not including, the Any and All Settlement Date, which is currently expected to be March 28, 2011.

The Any and All Tender Offer will expire at 11:59 pm New York City time on March 24, 2011, unless extended. The terms and conditions of the Any and All Tender Offer are set forth in the Offer to Purchase dated March 17, 2011 and the related Letter of Transmittal.

Nexen has retained Deutsche Bank Securities Inc. and BNP Paribas Securities Corp. to serve as joint dealer managers, and D.F. King & Co., Inc. to serve as the depositary and information agent for the tender offers.
