TORONTO, ONTARIO--(Marketwire - May 25, 2012) - Silver Bear Resources Inc. ("Silver Bear" or the "Company") (News - Market indicators) is pleased to announce that it intends to complete a non-brokered private placement financing of units ("Units") for the sale of up to 8,075,000 Units at a price of $0.345 per Unit for gross proceeds in the amount of $2,785,875 (the "Offering"). Each Unit consists of one common share of the Company (a "Common Share") and one-half of one common share purchase warrant (each whole warrant, a "Warrant"). Each Warrant will entitle the holder thereof to acquire a Common Share at the exercise price of $0.58 per share for a period of up to 36 months following the closing of the Offering.

The Company intends to use the gross proceeds of the Offering to finance its previously announced exploration program (see press release dated April 2, 2012) and initiation of the Bankable Feasibility Study for the Mangazeisky Silver Project and for general working capital purposes. 

The Common Shares, the Warrants, and the shares issuable upon the exercise of the Warrants, are subject to statutory resale restrictions for a period of four months and one day following closing of the Offering. Closing of the financing is expected to occur on or about June 15, 2012 and remains subject to receipt of regulatory approval, including final approval of the TSX.
