VANCOUVER, BRITISH COLUMBIA--(Marketwire - Aug. 20, 2012) - Hemisphere Energy Corporation ("Hemisphere" or the "Company") (TSX VENTURE:HME) is pleased to announce that its shareholders approved all matters put before them at the Company's Annual General and Special Meeting held on August 17, 2012, as follows:
1. Approved the consolidated financial statements of the Company for the
fiscal year ended February 29, 2012 and the auditor's report thereon;
2. Fixed the number of directors of the Company at six (6);
3. Elected the following directors of the Company for the ensuing year:
Charles O'Sullivan, Don Simmons, Frank Borowicz, Bruce McIntyre, Greg
Sadler and Gregg Vernon;
4. Appointed Smythe Ratcliffe LLP as auditors of the Company for the
ensuing year at a remuneration to be fixed by the Board of Directors;
5. Changed the Company's fiscal year-end from February 28 to December 31;
6. Passed an ordinary resolution approving the renewal of the Company's
Stock Option Plan; and
7. Passed an ordinary resolution approving the extension of the Company's
Shareholder Rights Plan.
