VANCOUVER, July 6, 2016 /CNW/ - GREAT PANTHER SILVER LIMITED (TSX: GPR; NYSE MKT: GPL) ("Great Panther"; the "Company") announces that it has entered into an underwriting agreement dated July 6, 2016 (the "Underwriting Agreement") with Cantor Fitzgerald Canada Corporation and Rodman & Renshaw, a unit of H.C. Wainwright & Co., LLC, as joint bookrunners, and Euro Pacific Capital, Inc. and Sprott Private Wealth LP, as co-managers (collectively, the "Underwriters"), to purchase, on a bought deal basis, 12,500,000 units of the Company (the "Units") at the price of US$1.60 per Unit (the "Issue Price") for aggregate gross proceeds of US$20 million (the "Offering"). Each Unit consists of one common share in the capital of Great Panther (a "Share") and one-half of one common share purchase warrant (each whole warrant, a "Warrant"). Each Warrant entitles the holder thereof to purchase one Share at the exercise price of US$2.25 per Share for a period of 18 months after the closing of the Offering.

In addition, the Company has granted to the Underwriters an over-allotment option (the "Over-Allotment Option") exercisable, in whole or in part, in the sole discretion of the Underwriters to purchase up to an additional 1,875,000 Units at the Issue Price per Unit, for a period of up to 30 days after the closing of the Offering for additional aggregate proceeds to the Company of approximately US$3 million. In the event the Over-Allotment Option is exercised in full, the aggregate gross proceeds to the Company will be US$23 million.

The Company has agreed to pay the Underwriters a cash commission equal to 6% of the gross proceeds of the Offering, including proceeds received from the exercise of the Over-Allotment Option.

The Offering will be made by way of a prospectus supplement dated July 6, 2016 (the "Prospectus Supplement") to the Company's existing Canadian short form base shelf prospectus (the "Base Shelf Prospectus") and U.S. registration statement on Form F-10 (the "Registration Statement") (File No. 333-199119), each effective as of October 20, 2014.
