Each Unit consists of one common share plus one half of one share purchase warrant (a "Warrant"), each whole Warrant entitling the holder to purchase one common share of the Company at an exercise price of $0.50 for a period of 12 months from closing. The pricing and the number of units to be issued in the private placement referred to herein are on a pre-business combination basis and will be subject to the 2:1 share consolidation associated with the completion of the business combination among Bell, Grandcru Resources (TSX-V Symbol: GR) and Rogue River Resources (a non reporting company). The Company will pay a cash commission equal to 8% of the amount subscribed and such number of warrants (the "Agent's Warrants") to purchase common shares of the Company equal to 10% of the number of Units sold, such Agent's Warrants being exercisable at a price of $0.35 for 24 months from closing. The proceeds of the private placement will be used for the La Balsa property feasibility study; the initiation of tunnel rehabilitation at the Granduc property; drilling at the Kabba property; exploration work on various properties; and for general working capital purposes. On March 28 2008, Bell, Grandcru Resources and Rogue River Resources (a non reporting company) received shareholder approval for the proposed business combination announced on September 4 2007. Although management is confident that the remaining requirements to complete the business combination will be forthcoming, readers are cautioned that there can be no assurance that the remaining conditions will be satisfied. In conjunction with the completion of the business combination, the name of the company will be changed to Bell Copper Corporation (TSX-V Symbol: BCU).
