Notice under section 708A(5)(e) of the Corporations Act 2001 (Cth)

This notice is given by Ferrum Crescent Limited ACN 097 532 137 (Ferrum Crescent or the

Company) under section 708A(5)(e) of the Corporations Act 2001 (Cth) (Corporations Act). On 28 April 2016, Ferrum Crescent announced:

1. the placement of 500,000,000 new fully paid ordinary shares (the Placing Shares);

2. the issue of 4,807,692 new fully paid ordinary shares to Beaufort Securities Limited in settlement of corporate broking services fees; and

3. the issue of 5,000,000 new fully paid ordinary shares to TH Crestgate GmBH in connection with the extension of certain escrow arrangements under the terms of the Company's option and sale agreement in respect of GoldQuest Iberica, S.L.,

(together, the New Shares).

The Company announces that the New Shares were issued today at a price of GBP0.0013 per share to raise up to £650,000 (before costs).

Ferrum Crescent advises that:

1. the New Shares have been issued without disclosure to investors under Part 6D.2 of the Corporations Act;

2. as at the date of this notice, Ferrum Crescent has complied with:

3. the provisions of Chapter 2M of the Corporations Act as they apply to Ferrum Crescent; and

4. section 674 of the Corporations Act; and

5. as at the date of this notice, there is no excluded information of the type referred to in sections 708A(7) and 708A(8) of the Corporations Act.
