Wealth Minerals Ltd. (the "Company" or "Wealth") (News - Market indicators)(FRANKFURT:EJZ) announces the closing of its non-brokered private placement (the "Offering") announced on January 21 and March 1, 2013.
The Company sold 3,445,500 units (the "Units") at a price of CAD 0.08 per Unit for aggregate gross proceeds of CAD 275,640 (the "Offering"). Each Unit consists of one common share of the Company ("Share") and one transferable common share purchase warrant ("Warrant"). Each Warrant is exercisable to acquire one additional Share until March 1, 2014 at an exercise price of $0.10. If, at any time from July 2, 2013 until the expiry of the Warrants, the daily volume-weighted average trading price of the Shares on the TSX Venture Exchange exceeds CAD 0.50 for at least 10 consecutive trading days, the Company may, within 30 days, give an expiry acceleration notice to the holders of Warrants and, if it does so, the Warrants will, unless exercised, expire on the 30th day after the expiry acceleration notice is given.
The Shares, the Warrants, and any common shares which may be issued upon the exercise of the Warrants, are all subject to a hold period in Canada until July 1, 2013.
No commissions or finder's fees were paid in connection with the Offering. The net proceeds from the Offering are intended to be used to settle certain outstanding accounts payable, fund the investigation and acquisition of additional mineral projects for the Company and for general working capital purposes.
