Corporate Restructure

& Dual Listing

Dear Eric,

I am pleased to announce our plans to conduct a corporate restructure and dual listing on the Toronto Stock Exchange, with the prime objective of enhancing returns to shareholders:

�Spin-out� of all exploration assets (i.e. everything except Kanyika Niobium Project) into a separately listed company. This new rare earth focussed company will have Mount Muambe as the primary asset, and enable that asset to be separately funded, as well as ensure that the market differentiates between our niobium and rare earth commodity projects.

To better leverage our niobium asset, Globe also intends to dual list on the Toronto Stock Exchange, coinciding with the completion of the Kanyika Niobium Project�s Definitive Feasibility Study (DFS).

I look forward to bringing you further details of the spin-out and dual listing in due course, including time frames, regulatory and compliance hurdles and the nature and extent of shareholder participation in the new entity.
