(NYSE:FGP) announced today that it has commenced an underwritten public offering of 6,325,000 common units representing limited partner interests in FGP. The underwriters will be granted a 30-day option to purchase up to an additional 948,750 common units.

FGP intends to use the net proceeds from the offering, including the proceeds from any exercise of the option to purchase additional common units, to fund a portion of the cash portion of the consideration for the pending acquisition of all of the outstanding membership interests in Bridger Logistics, LLC and its subsidiaries.

J.P. Morgan, UBS Investment Bank, Barclays, BofA Merrill Lynch, RBC Capital Markets and Jefferies are acting as joint book-running managers for the offering.
