Acadian Mining Corporation (�Acadian Mining�) will be holding the Annual and Special Meeting ("Meeting") of shareholders at the Halifax Marriott Harbourfront Hotel located at 1919 Upper Water Street, Halifax, Nova Scotia, on Tuesday, June 9, 2009 at 10:00 am (ADT). You should receive your shareholder information package (�Meeting Materials�), including proxies or voting information forms, in the mail within the next few days.
Voting in favour of the $10 million Golden River Private Placement is very important to the survival of Acadian Mining.
At the Meeting, shareholders will be asked to vote to approve the proposed private placement transaction with Golden River Resources Corporation (�Golden River Private Placement�), as more particularly described in the Meeting Materials. Management believes that the Golden River Private Placement will provide Acadian Mining with a base from which it can re-build, which is preferable to selling its assets at fire sale prices � assuming buyers could be found. The Golden River Private Placement will provide Acadian Mining with the opportunity to settle with its creditors and retain the Scotia Mine, the gold assets and its 29% interest in Royal Roads Corp. It will also allow Acadian Mining to meet its near term operational funding requirements. In addition, the Golden River Private Placement will bring to Acadian Mining the skill set and experience of Joseph Gutnick, a well known and accomplished mining entrepreneur in the Australian mining industry.
The board of directors of Acadian Mining unanimously and strongly endorses and recommends the shareholders vote in favour of the proposed Golden River Private Placement.
It is important that your shares be represented at the Meeting. Whether or not you are able to attend, we urge you to complete your proxy (or voting instruction form) and return it in accordance with the instructions that are on it. If you receive more than one proxy (or voting instruction form) it is because your shares are registered in more than one name. You should submit all proxies or voting instruction forms that you receive in order that all of your shares are voted.
