Merger update ? Posting of Xstrata plc Supplementary Scheme Circular

Following the publication of Xstrata's scheme circular to shareholders dated 31 May 2012 in connection with the recommended all-share merger of equals with Glencore International plc, Xstrata has today published a supplementary scheme circular. The document includes notice of the new Extraordinary General Meeting of Xstrata in connection with the Merger to be held on 7 September 2012, which will follow the Court Meeting which will now also be held on 7 September 2012, having been adjourned on 12 July 2012, and previously announced details of the amended management incentive arrangements.
The supplementary scheme circular should be read in conjunction with Xstrata?s scheme circular to shareholders dated 31 May 2012 and will be made available on Xstrata?s website (www.xstrata.com) and sent to Xstrata shareholders today.

Notice to US holders of Xstrata Shares
The Merger involves an exchange of the securities of a UK company for the securities of a Jersey company and is subject to Jersey and UK disclosure requirements, which are different from those of the United States. The Merger is proposed to be made by means of a scheme of arrangement under the Companies Act and otherwise in accordance with the requirements of the Code.
