Prominex Res. reorganization of audit and compensation committees

Prominex Resource Corp. (TSX VENTURE:PXR - News) announces that the Audit and Compensation Committees of the Company have been reorganized due to the resignations of Mr. Paul O'Brien and Mr. Harold Wareham and the appointments of Mr. Gordon MacNiel and Ms. Liliana Hartwig.

The Audit Committee is comprised of Chairman Dr. David Stirling and members Mr. Gordon MacNiel and Ms. Liliana Hartwig. The Compensation Committee is now comprised of Chairman, Mr. Gordon MacNiel and member Dr. David Stirling.

The Audit and Compensation Committees are comprised of independent directors of the Company, in that the Committee directors have no direct or indirect material relationship with the Company or its subsidiaries. A "material relationship" is defined in National Instrument 52-110 Audit Committees to mean any relationship, which could, in the view of the board, be reasonably expected to interfere with the exercise of a director's independent judgement.
