Oremex Silver Inc. Closes First Tranche Of Private Placement

TORONTO, Oct. 19, 2012 /CNW/ - Oremex Silver Inc. (TSXV: OAG) (OTCQX: ORAGF) (FRANKFURT: OSI) (the "Company") announced that it has closed the first tranche of the non-brokered private placement (the "Private Placement") previously disclosed by the Company on October 1, 2012. The first tranche of the Private Placement raised gross proceeds of $318,850 through the issue of 5,314,166 units of the Company (the "Share Units"), each Share Unit consisting of one common share (a "Share") and one common share purchase warrant (a "Warrant"), at a purchase price of $0.06 per Share Unit. Each Warrant is exercisable into Shares at a price of $0.10 per Share, expiring in five (5) years from the date of issue.
In connection with the Private Placement, the Company paid finder's fees of $15,498 and issued 258,300 finder's warrants, each finder's warrant exercisable into Shares at a price of $0.10 per Share, expiring in five (5) years from the date of issue.
All securities issued under the Private Placement will be subject to a four-month hold period, in addition to such other restrictions as may apply under applicable securities laws in jurisdictions outside of Canada. The closing of the Private Placement remains subject to the final approval of the TSX Venture Exchange.
