The Management Board of Netia S.A. (the "Company" or "Netia") hereby informs that today it has received information on Resolution of the Management Board of the National Depository for Securities (Krajowy Depozyt Papierów Wartościowych S.A.) (the "NDS") No 488/15 issued on July 24, 2015 concerning registration in NDS (admission to the deposit of securities) 68,823 ordinary series L bearer Netia shares with the nominal value of PLN 1 (one ) each, issued under conditional capital increase based on the resolution no 26 of the Ordinary General Meeting of Shareholders of Netia of May 26, 2010 and to mark them with the code PLNETIA00014, on the condition that the entity operating the regulated market makes the decision to introduce such shares to trading on the regulated market, on which were introduced other Netia's shares assigned with the code PLNETIA00014.

Registration of the 68,823 ordinary Series L bearer shares indicated above in the deposit of National Depository for Securities will take place within three days from the NDS's receipt of documents which confirm that a decision has been made by an entity operating the regulated market, to introduce the a.m. shares to trading on the regulated market.

The shares were issued due to the exercise of stock options.
