Berkwood Resources Announces Changes in Management and Share Consolidation

Berkwood Resources Ltd. ('Berkwood' or the 'Company') is pleased to announce the appointment of Mr. David Hodge as a Director and Chief Executive Officer of the Company. Mr. Hodge has been President of Zimtu Capital Corp. since July, 2008 and has extensive experience in the management and financing of publicly traded resource companies. Mr. Hodge's success has been founded on a belief in team building, consultation and strong leadership, as well as a willingness to incorporate expert advice into a viable working enterprise. Mr. Hodge also serves on the Board of Directors of Commerce Resources Corp. and Equitas Resources Corp.

George Gorzynski is stepping down as CEO but will remain as a Director of the Company.

Victor Jaramillo has resigned as a Director of the Company. We would like to thank Victor for the past contributions that he has made.

Share Consolidation

The Company announces that management will be proceeding a consolidation of its share capital as approved at the last Annual General and Extraordinary Meeting of shareholders held on August 27, 2015. The consolidation of the common shares of the Company will be on the basis of ten (10) pre-consolidation shares for one (1) post-consolidation share. Currently the Company has 29,225,572 common shares issued and outstanding which would reduce to approximately 2,922,557 common shares. This number may change subject to exercise of warrant and options prior to the date of the consolidation. The share consolidation is subject to approval of the TSX Venture Exchange.
