MONTREAL, QUEBEC--(Marketwire - Dec. 17, 2012) - Ressources Minières Pro-Or Inc. (POI) (News - Market indicators) announces that it is currently completing a private placement in the amount of $250 000. This placement is being offered to "Accredited Investors" in units of $5,000. Each unit is made up of:

1. 32 000 flow-through common shares at $0.125 per share;
   
   
2. 8 000 non-flow-through common shares at $0.125 each and;
   
   
3. 20 000 common share purchase warrants, each warrant shall entitle the holder thereof to acquire one common share of the Issuer (on a non-flow-through basis) at a price of $0.20 until the date which is twelve (12) month following the Closing date.
   
   

The proceeds raised from the issuance of the Flow-Through Shares will be used to incur exploration expenditures on Menarik Property in James Bay, Quebec.

Shares issued pursuant to the offering will be subject to a four (4) month hold period.

No finders' fee will be payable on the transaction, which is subject to regulatory approval.
