Silver Bear Resources Inc. ("Silver Bear" or the "Company") (News - Market indicators) is pleased to announce that it has closed its second and final tranche of its private placement financing through the sale of 1,780,000 units (the "Units") at a price of $0.345 per Unit for gross proceeds of $614,100 (the "Offering") (see Press Releases dated May 25, 2012). In total, upon closing of both tranches, the Company has raised aggregate gross proceeds of $1,824,100. Each Unit consists of one common share of the Company (a "Common Share") and one-half of one common share purchase warrant (each whole warrant, a "Warrant"). Each Warrant will entitle the holder thereof to acquire a Common Share at the exercise price of $0.58 per share for a period of up to 36 months following the closing of the Offering.
The Company intends to use the gross proceeds of the Offering to finance its previously announced exploration program (see press release dated April 2, 2012), and for general working capital purposes.
The Common Shares, the Warrants, and the shares issuable upon the exercise of the Warrants, are subject to statutory resale restrictions until November 17, 2012.
