BG Group - Board update

BG Group today announces changes to its board with the appointment of two Non-Executive Directors and also the succession of a new Senior Independent Director. With effect from 1 January 2014, Pam Daley and Martin Ferguson will join the board as Non-Executive Directors and Dr. John Hood will succeed Baroness Hogg as Senior Independent Director.

Miss Daley is currently Senior Vice-President and Senior Advisor to the Chairman at General Electric Company (GE) in the USA and Mr Ferguson is a former Australian Minister for Resources and Energy.

Commenting on the new Non-Executive Director appointments, BG Group Chairman Andrew Gould said: "I am delighted to welcome both Pam and Martin to the BG Group board. They bring with them a wealth of international expertise that will be of great value to BG Group.

"Pam's experience from her distinguished career in North America and internationally will bring new insight and perspective to our board. Her renowned expertise in finance and law - especially with mergers, acquisitions, joint ventures and business development arrangements - will be a welcome addition to the board and the company as we continue to pursue our strategy of more active portfolio management, fiscal discipline and monetisation of our assets at different stages of their life-cycles.

"Martin also brings with him international expertise, particularly in the resources and energy sector. With Australia poised to become one of the world's leading suppliers of LNG, and with BG Group set to deliver the world's first coal seam gas to LNG project in 2014, Martin's insight and experience in the development of Australia's natural gas industry and the growing LNG market in Asia will prove invaluable to the board."

Regarding the change to the Senior Independent Director, Andrew added: "The Board joins me in thanking Sarah for her commitment and invaluable contribution to the Group in the role of Senior Independent Director. Her wisdom has helped guide me and the Board through a period of significant change. John is a highly accomplished Non-Executive Director who will be a strong Senior Independent Director for BG Group."

Baroness Hogg will remain a Non-Executive Director of the Group but, in recognition of her completion of a nine-year tenure as a director of the Group in January 2014, she will also step down as a member of the Audit and the Nominations Committees with effect from 31 December 2013.

Dr. Hood has been a Non-Executive Director of the Group since 2007 and is Chairman of the Remuneration Committee.  

BG Group confirms that there are no details to be disclosed under paragraphs 9.6.13 (2) - (6) of the Listing Rules of the United Kingdom Listing Authority. Other than those noted below, Miss Daley and Mr Ferguson have held no directorships in publicly quoted companies in the last five years.

The announcement of Dr. John Hood's succession as Senior Independent Director is in accordance with Listing Rule 9.6.11 (3).

Pam Daley
Miss Daley joined GE in 1989 as Tax Counsel and was Vice President and Senior Counsel for Transactions from 1991 to 2004. In July 2004 Miss Daley became Vice President - Corporate Business Development and was promoted to Senior Vice President in 2005.

In this position, Miss Daley was responsible for GE's mergers, acquisitions, and divestiture activities worldwide (acquisitions, dispositions, joint ventures, alliances, and other business development arrangements).

Miss Daley became Senior Vice President and Senior Advisor to the Chairman of GE on 1 April, 2013, a position from which she will retire on 31 December, 2013. 

Prior to joining GE, Miss Daley was a tax partner at Morgan, Lewis & Bockius, a large law firm headquartered in Philadelphia. She was an adjunct professor at the University of Pennsylvania Law School from 1982 through 1989, teaching Federal Income Taxation of Partners and Partnerships.

Miss Daley serves on the boards of the University of Pennsylvania Law School, The Juilliard School and the GE Foundation. Miss Daley is also a member of the National Council of the World Wildlife Fund.


Martin Ferguson

Mr Ferguson was Australia's Federal Minister for Resources and Energy for nearly six years until his retirement from politics in early 2013. During that time, he was also the Federal Minister for Tourism.

He was elected to the Australian House of Representatives in 1996 as the Australian Labor Party's Member for Batman, a Melbourne-based electorate. He was responsible for several portfolios while in opposition until 2007, including transport, employment, training, multi-cultural affairs, regional development, infrastructure, roads and primary industries.

He was President of the Australian Council of Trade Unions for six years until entering parliament and is a life member of Australia's Liquor, Hospitality and Miscellaneous Workers' Union.

Mr Ferguson chairs a Tasmanian Government advisory panel into the state's timber industry; is chair of an advisory board to the Australian oil and gas industry association, APPEA; and is an executive with the Seven Group Holdings with responsibility for natural resources.


Dr. John Hood

In addition to his Non-Executive Director role at BG Group, Dr. Hood also currently serves as Chairman of URENCO Ltd and of Study Group Ltd; as President of the Robertson Foundation and as Chairman of Rhodes Trust. 

He was formerly Vice Chancellor of the University of Oxford, Vice Chancellor of the University of Auckland, and also a member of the Growth and Innovation Advisory Board and the Enterprise Council of the Prime Minister of New Zealand. He has also been a director of New Zealand-based companies, including Fonterra Co-operative Group Ltd and ASB Bank Limited, and was chairman of Tonkin & Taylor Ltd. 

Dr. Hood will also join the Board of WPP plc on 1 January 2014.
