MONTREAL, QUÉBEC--(Marketwire - Jan. 7, 2013) - Ressources Minières Pro-Or Inc. (News - Market indicators) has completed the previously announced private placement of units for a total amount of $250,000. Each unit was priced at $5,000.

This private placement was addressed to qualified investors and implicated the issuance of:

1. 1 600 000 Class A shares issued on a flow-through basis at $0.125 each;
2. 400 000 Class A non-flow-through Class A shares at $0.125 each and;
3. 1 000 000 Class A purchase warrants, each warrant shall entitle the holder thereof to acquire one Class A share of the Issuer (on a non-flow-through basis) at a price of $0.20 until the date which is twelve (12) month following the Closing date.

The proceeds raised from the issuance of the Flow-Through Shares will be used to incur exploration expenditures on Menarik Property in James Bay, Quebec.

Shares issued pursuant to the offering will be subject to a 120 days hold period.
