Non-Brokered Private Placement and Warrant Extension

Soho Resources Corp. (TSX Venture - SOH) (�Soho� or the �Company�) announces that it has arranged a non-brokered private placement of up to 12,500,000 units of the Company. Each unit is priced at $0.06 per unit, resulting in gross proceeds of up to $750,000. Each unit is comprised of one common share of the Company and one half of a two year transferable share purchase warrant. Each one whole share purchase warrant entitles the holder thereof to purchase one additional common share of the Company at $0.10 within two years of its date of issuance.

All securities issued under the non-brokered private placement are subject to a hold period expiring four months and one day after the closing date. Closing of the Private Placement is subject to approval of the TSX Venture Exchange.

Use of Proceeds

Proceeds will be used for general corporate purposes.

Warrant Term Extension

On January 13, 2012, the TSX Venture Exchange announced they had consented to an extension to the expiry date of warrants issued pursuant to a private placement completed January 24, 2011.
