TORONTO, ONTARIO--(Marketwire - Sept. 13, 2012) - Continental Nickel Limited (News - Market indicators) ("Continental") and IMX Resources Limited (ASX:IXR) ("IMX") announced today that the Ontario Superior Court of Justice issued a Final Order (the "Final Order") approving of the plan of arrangement (the "Arrangement") announced on May 16, 2012. The Final Order makes effective the decision of the shareholders (the "Shareholders") of Continental to approve the Arrangement at a special meeting convened yesterday.
The closing of the transaction is subject to the satisfaction or waiver of the other conditions specified in the Arrangement, including receipt of all necessary regulatory approvals. Pursuant to the terms of the Arrangement, IMX will acquire all the issued and outstanding common shares in the capital of Continental that it does not already own. Continental Shareholders (other than IMX) will receive 3.7 ordinary shares in the capital of IMX and 0.5 of an ordinary share purchase warrant of IMX for each Continental share held.
